  • Technology company: As outside general counsel, Lisa oversees negotiations on all transactions and solves any problems that arise in day-to-day operations, as well as in executing on its long-term development strategies, including advising the company on transactions expected to double its roughly $350M value.

    Medical equipment company: Since its initial formation, Lisa has served as outside general counsel to this company, founded by a serial entrepreneur in the athletic recovery space. Taking the company through start-up, she recently assisted in its latest $5M funding round and is helping the company position for a potential acquisition.

    Online retailer: Serving as outside general counsel since 2014, Lisa handles the full range of legal matters from corporate governance and business agreements to intellectual property matters. She recently led the company’s $12M funding and financing transactions and helped it acquire two companies and multiple brands. She assisted with a $6M equity raise and $6M debt facility, all while retaining more than 80% ownership and control for the company’s founders – quite a feat in the emerging growth arena.

    Nonprofit association: As outside general counsel for this organization, Lisa handles nearly all its legal needs, including helping the group digitally transition from an in-person format to a purely digital and virtual organization due to the COVID pandemic and ensuring compliance with respect to privacy and digital operations.

    Private equity firm: Lisa acts as outside counsel for a private equity firm focused on SaaS companies. Not only does she work with many of their portfolio companies, she helps the firm structure their holdings and investments.Description text goes here

    Venture capital firm: Lisa acts as outside general counsel for a venture capital firm aimed at investment in disruptive cross-border technology startups. She acts as outside general counsel for many of their portfolio companies.

  • Buyer’s Counsel: Lisa served as buyer’s counsel in the $5M acquisition of a company, closing the deal in a record time of only three weeks.

    Seller’s Counsel: For an advertising technology company, after serving as outside general counsel and helping them grow from a small team of 7 to more than 50 employees, Lisa shepherded the company through the sale of their assets.

    Shareholder Buyout: Serving as the company’s lead counsel, Lisa stepped in to assist in this shareholder buyout that had stalled for nearly a year. Within two months, she spearheaded negotiation of the terms of the buyout in a deal that was half of what was offered previously.

Caleb Stevens

Caleb serves as trusted legal counsel to small and mid-sized businesses across diverse industries, both in the United States and internationally. With a focus on business law, real estate law, and corporate transactions, he provides strategic guidance to startups and established companies alike. From corporate structuring and governance to venture capital and regulatory compliance, Caleb advises clients at every stage of growth. His expertise includes drafting and negotiating a wide range of legal documents, including service level agreements, master service agreements, licensing agreements, executive compensation arrangements, consulting and employment agreements, and asset purchase agreements, among others. 

Prior to joining Sand Hill Law Group, Caleb was an associate with the law firm DLA Piper and accrued valuable experience in public interest law. He served as a legal advisor to the Liberia Land Commission and the environmental think tank World Resources Institute as well as a Public Interest Law Initiative Fellow with First Defense Legal Aid. Caleb has also worked on conservation and international development with the US Agency for International Development (USAID). At USAID he managed or designed a portfolio of projects in Latin America, Africa, and Asia on the relationship between property law, forest conservation, and renewable energy, with a particular focus on measuring the impact of these projects. 

Beyond his legal pursuits, Caleb is an avid traveler with a passion for exploring the world. Having ventured to over 40 countries across six continents, he brings a global perspective to his work.

Stephanie Corinna Smith

Stephanie has traveled significantly throughout South America, Asia, and Europe. She enjoys the practice of immigration law because it allows her to live in the Bay Area while continuing to meet talented people from all over the world. In 2016, Ms. Smith was named a Rising Star in Northern California by Super Lawyers for excellence in immigration law. She was also named a Future Leader in corporate immigration in 2021 by Who's Who Legal.

Stephanie has extensive experience counseling companies and non-profit organizations in obtaining non-immigrant visa status and permanent residency for essential foreign workers. Stephanie has particular expertise assisting employers as they hire and retain foreign nationals with extraordinary ability in the sciences, arts, and business. Gabriela Galsim

Gabriela Fuentes Galsim is a labor and employment attorney who advises and defends employers across a wide range of industries, including restaurants, hospitality groups, technology companies, logistics providers, and trucking companies. Her practice spans the full spectrum of employment litigation, with experience handling matters from pre-litigation through resolution on the eve of trial. She represents clients in disputes involving discrimination, harassment, retaliation, wrongful termination, and wage and hour violations.

Gabriela also provides practical guidance to employers navigating California’s complex and demanding labor and employment laws—some of the most challenging in the country. She works closely with clients to develop compliant workplace policies, conducts internal investigations, and delivers employee trainings in both English and Spanish.

Previously, Gabriela practiced at Fisher & Phillips LLP, an international labor and employment law firm, where she honed her litigation skills and advised clients on day-to-day compliance issues.

Anthony Kim

Anthony Kim specializes in assisting clients with Federal and state tax matters. He has worked over 26 years as an attorney with the Office of Chief Counsel, Internal Revenue Service, as a legal adviser and has litigated some of the most complex tax issues for the U.S. Treasury Department. During his government career, Tony supervised national industry programs covering sports, telecommunications, gaming, high technology, media & entertainment working closely with IRS technical Advisors to propose/draft published guidance. Beginning in 2009, Tony served as one the five primary counsel to assist the newly formed IRS global high wealth (GHW) industry group, a specialized unit focusing on the selection and audit of high-net-worth individuals. In this role, Tony assisted IRS revenue agents develop facts and legal positions in specialized audits focused on individuals with high total positive income. He has received numerous awards for his legal work over the course of his career including recognition from the United States Department of Justice for his special contribution in one major GHW case.

In addition to his government background, Tony worked in the private sector as an Executive Director of Tax Controversy and Risk Management Services with Ernst & Young, LLP (E&Y) from 2008-2009. In this role, he led the Pacific Northwest controversy practice for E&Y assisting clients to address a wide range of IRS compliance issues. Tony represented Fortune 500 companies and high net worth individuals assisting them to optimize tax planning opportunities and representing his clients before the IRS in audits.

Tony has served as an instructor at IRS training sessions and as an adjunct professor at Golden Gate University Graduate School of Taxation (19 years) and at St. Mary’s College (9 years). At St. Mary’s College, he managed the school’s community engagement program where he trained students to become qualified to serve as volunteers at local nonprofit organizations in order to provide tax assistance to low-income individuals/families.

Tony earned his political science degree from Amherst College, an MBA (specializing in accounting) from the College of William & Mary and a law degree from Brooklyn Law School. He is a member of the New York state bar, admitted to practice before the United States Tax Court, the United States District Court for the Eastern District of New York, and the United States Supreme Court. He is an avid tennis player winning the United States national men’s doubles championship at the 4.0 USTA rating level with his doubles partner.

Nicholas Rosado

Nicholas Rosado is a former IRS Office of Chief Counsel Senior Attorney. During his time at the IRS Office of Chief Counsel, he was responsible for litigating cases before the United States Tax Court on behalf of the IRS. Nick has tried more than 20 cases in the United States Tax Court.

Nick was one of a handful of attorneys at IRS Counsel tasked with litigating and providing legal advice to the IRS on all issues involving enforcement of the Cannabis Industry. He was also solely tasked with litigating all whistleblower cases filed in the Northwestern United States. In addition to focusing on these specific areas, Nick has litigated cases involving a broad array of tax issues, and has successfully resolved more than 500 United States Tax Court cases.

Nick regularly provided legal advice to IRS Examination. He was the Fraud Coordinator for the San Francisco Chief Counsel Field Office. In that role, he provided daily legal advice to the Fraud Enforcement Advisor covering Northern California and Revenue Agents on developing the fraud penalty in ongoing examinations. Nick was also co-counsel on two Large Business and International Global High Wealth audits. In those cases, he provided legal advice to Examination teams working on complex audits of high wealth individuals and organizations.

Nick has broad experience with IRS Collection. He has authorized lawsuits ranging from injunctions for employment tax pyramiding to lien foreclosures. He has provided legal advice to IRS Collection, Appeals, and Advisory on collection issues concerning liens, levies, offers in compromise, collection procedure, and collection suits. He has also litigated numerous cases in Tax Court involving collection matters.

Nick was born and raised in New York City. He is an Air Force veteran. After completing his term of service with the Air Force, he received a J.D. from Fordham University School of Law. Prior to joining the IRS Office of Chief Counsel, Nick was a litigation associate at a private law firm in New York City for four years. Having experienced life on the West Coast during his time in the Air Force, he took the opportunity to return the West Coast to work for the federal government. He now lives in Los Gatos, and enjoys gardening and hiking with his family and dog, Garlic.

Nick is barred in New York State and California State. He is admitted to the United States Tax Court, the United States District Court for the Northern District of California, the United States District Court for the Eastern District of California, and the United States Court of Appeals for the Ninth Circuit.
